By accessing or using this Service, you agree to be bound by these Terms of Use.
If you do not agree to these terms, you must not use this Service. Your continued use of this Service constitutes your ongoing acceptance of these terms.
1. Acceptance of Terms
By accessing, browsing, or using this NDA signing service ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and all applicable laws and regulations.
- Binding Agreement: These Terms of Use constitute a legally binding agreement between you and the Operator.
- Continued Use: Each time you access or use this Service, you reaffirm your acceptance of the then-current Terms of Use.
- Email Validation: By validating your email address to use this Service, you confirm your acceptance of these terms.
- Signing Documents: By electronically signing any document through this Service, you confirm your acceptance of these terms in addition to the document being signed.
2. About This Service
This NDA signing service ("Service") is operated by Robert Powell ("Operator"). The Service facilitates the creation and electronic signing of Non-Disclosure Agreements based on the oneNDA standard form.
What this Service does: Generates oneNDA documents, collects electronic signatures from both parties, and delivers fully executed agreements via email.
3. Electronic Signatures
By using this Service to sign documents, you acknowledge that:
- Electronic signatures created through this Service are legally binding under the UK Electronic Communications Act 2000 (for UK NDAs), the U.S. ESIGN Act and the New York Electronic Signatures and Records Act / ESRA (for U.S. NDAs), and equivalent legislation in other jurisdictions.
- Your electronic signature carries the same legal weight as a handwritten signature.
- When you type your name and click "Sign Document", you are executing a legally binding agreement.
- An audit trail is maintained recording the timestamp, IP address, and browser information for each signature.
4. Data Retention and Privacy
We are committed to data minimisation and retain personal data only for as long as necessary:
4.1 Unsigned Documents
If an NDA is not fully signed within 7 days of creation:
- All generated document files are permanently deleted
- All associated database records (including names, email addresses, and company information) are permanently deleted
- An expiry notification is sent to the document creator before deletion
4.2 Signed Documents
Once both parties have signed an NDA:
- The fully executed document and certificate are immediately emailed to both parties
- The document files are deleted from our servers within 5 minutes of completion — we do not retain the executed document itself
- We retain a permanent audit record of the signing event — including the signatory names, signing timestamps, IP addresses, and the document hash fingerprints (SHA-256) — as evidence that the agreement was executed and to support later document verification
Important: We do not retain copies of signed documents. Both parties receive the executed NDA via email and are responsible for their own record-keeping.
4.3 Verifying a Document
Your completion certificate and email include SHA-256 hash fingerprints of both the original and the signed document. You can confirm that a document is authentic and unaltered at any time using our document verification page — the check runs entirely in your browser and your file is never uploaded to us.
4.3 What We Collect
During the signing process, we collect:
- Names and email addresses of signatories
- Company names and registered addresses
- Job titles of signatories
- IP addresses and browser information (for audit trail purposes)
- Timestamps of all actions
5. Geographic Availability
This Service is available to users in selected countries only. Access from other locations may be restricted. This is a technical limitation and does not reflect on users in restricted regions.
6. The oneNDA Document
The NDA documents generated through this Service are based on the oneNDA standard form, an open-source NDA template designed to be fair and balanced for both parties. For more information about oneNDA, visit onenda.org.
While we use the oneNDA template, the Operator is not affiliated with the oneNDA organisation. Any questions about the legal terms of the NDA itself should be directed to your own legal advisors.
7. Limitation of Liability
To the fullest extent permitted by law:
- The Service is provided "as is" without warranties of any kind, express or implied.
- The Operator is not liable for any indirect, incidental, special, or consequential damages arising from use of this Service.
- The Operator does not provide legal advice. Users should consult their own legal advisors regarding the suitability of the oneNDA template for their specific needs.
- The Operator is not responsible for the content of any NDA generated through this Service or for any disputes arising between parties to an NDA.
Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to the Service or its systems
- Use the Service to send unsolicited communications
- Misrepresent your identity or authority to sign documents
9. Cookies
This Service uses strictly necessary cookies only. No tracking, analytics, or marketing cookies are used.
9.1 Email Validation Cookie
This cookie is set for all users after email verification:
- Is set only after you validate your email address
- Contains a secure, encrypted token to verify your identity
- Expires after 90 days, after which you will need to re-validate
- Is essential for the Service to function and cannot be disabled
9.2 Two-Factor Authentication Cookie
This cookie is set for users who have enabled two-factor authentication (TOTP):
- Is set only after successful TOTP verification
- Contains a secure, encrypted token to confirm authentication
- Expires at the end of your browser session
- Is essential for accessing features that require additional security
Both cookies are strictly necessary for the operation of the Service. As such, no consent is required under applicable data protection laws (including UK GDPR and the Privacy and Electronic Communications Regulations).
10. Changes to These Terms
We may update these terms from time to time. The current version will always be available on this page with the version number and date clearly indicated. Your continued use of the Service after any changes constitutes your acceptance of the updated terms. It is your responsibility to review these terms periodically.
11. Governing Law
These terms are governed by the laws of England and Wales and are subject to the exclusive jurisdiction of the courts of England and Wales.
